TfL is conducting the procurement under the negotiated procedure without prior publication. It conducted a market facing exercise by issuing a PIN notice (ref: 2016/S 143-259408) and then confirmed its findings back to the supply market via a second PIN (ref: 2016/S 179-321524 ). Rationale as explained in this second PIN:

On 27/07/16, TfL published a Prior Information Notice (PIN) (OJEU ref. 2016/S 143-259408) in respect of a potential partnering opportunity relating to its Surface Intelligent Transport System (SITS). The PIN sought expressions of interest from providers of real time optimisation software services to establish whether a viable alternative existed in the market to TfL's current system, namely SCOOT (Split Cycle Offset Optimisation Technique). TfL made available a detailed Briefing Paper and invited potential providers to engage in 1:1 discussions. Having undertaken this thorough market engagement exercise, it was clearly demonstrated to TfL that, as anticipated, there are no viable alternatives to SCOOT and, as such, TfL's intention is now to engage directly with the SCOOT owners, utilising a negotiated procedure without prior publication, without reverting more generally to the wider market with the intention of putting in place appropriate contractual arrangements by [July 2017].

This information cannot be provided as TfL is in the middle of a competitive procurement exercise with three bidders, and therefore this information is subject to a statutory exemption to the right of access to information under section 43(2). In this instance the section 43(2) exemption has been applied as disclosure would, or would be likely to prejudice our commercial interests, as well as those of the bidders. Disclosure of this information could hinder the ability of these companies to competitively tender for similar contracts in the future as well as hinder TfL’s ability to negotiate the best value for money for similar services in the future.

The use of this exemption is subject to an assessment of the public interest in relation to the disclosure of the information concerned. We recognise the need for openness and transparency by public authorities, particularly where the expenditure of public money is concerned, but in this instance the public interest in ensuring that we are able to obtain the best value for public money outweighs the general public interest in increasing transparency of our processes. Upon completion of the procurement exercise, a redacted version of the contract will be published.
