4. Procedure for other proposed Changes |
|
4.1 Where (i) a Change is proposed by LUL and the conditions in paragraph 3 are not or will not be satisfied or (ii) any Change is proposed by any of the Infracos, the Change Implementation Plan to be submitted by the relevant party in accordance with paragraph 2.1 shall contain the following additional information: |

(a) a timetable for agreeing and implementing the proposed Change; and |
| (b) a date by which the parties must agree to the proposed Change, after which date, the party proposing the Change may refer the matter to be resolved under the Dispute Resolution Agreement. |
| 4.2 Upon receipt of the Change Implementation Plan, the recipients shall review the said plan and propose any amendments or modifications, such amendments or modifications to be made to the plan by the agreement of the parties. |
| 4.3 The party proposing the Change shall comply with any requests for reasonable information relating to the proposed Change which are made by the other parties. |
| 4.4 By the date specified in the Change Implementation Plan ( or such later date if agreed by the parties ), each party will confirm whether it accepts or does not accept the Change Implementation Plan ( as may be amended by agreement between the parties ). |
| 4.5 If all parties ( including the party proposing the Change if the Change Implementation Plan has been amended since being submitted ) accept the said plan by the date referred to in paragraph 4.4 above, the parties concerned shall take all necessary steps to implement the Change in accordance with the Change Implementation Plan by the date of implementation stated in the said plan. |
| 4.6 If the Change Implementation Plan ( as may be amended by agreement between the parties ) is not accepted by all parties ( including the party proposing the Change if the said plan has been so amended ) by the date referred to in paragraph 4.4 above, the party proposing the Change may refer the matter to be resolved under the Dispute Resolution Agreement or may withdraw the Change Implementation Plan. |
