Information Agreement (Further Amended and Restated)

Recital

THIS AMENDED AND RESTATED AGREEMENT is made on 31 DECEMBER 2002

Between

(1) LONDON UNDERGROUND LIMITED whose registered office is at 55 Broadway, London, SW1H 0BD ( LUL );

(2) INFRACO BCV LIMITED
, ( Company No 03923496 ), whose registered office is at 55 Broadway, London, SW1H 0BD ( BCV );

(3) INFRACO JNP LIMITED
, ( Company No 03923495 ), whose registered office is at 55 Broadway, London, SW1H 0BD ( JNP ); and

(4) INFRACO SUB-SURFACE LIMITED
, ( Company No 03923484 ), whose registered office is at 55 Broadway, London, SW1H 0BD ( SSL ).

1. Purpose of This Agreement

1.1 Each of BCV, JNP and SSL, pursuant to the London Underground Infrastructure Companies Asset Transfer Scheme 2000 and the London Underground Engineering Information and Information Systems Transfer Scheme 2001, acquired assets and assumed rights and liabilities from LUL.
1.2 Each of BCV, JNP and SSL has entered into a PPP Contract under which they have each agreed to provide certain services to LUL in connection with the enhancement and maintenance of the Underground Network.
1.3 In connection with the PPP Contracts, LUL is conducting a project to divide certain Information into categories and it is intended that each of the parties will have rights and obligations in relation to the ownership, custody, updating and access of and to each of these categories of Information and the documents in which they are stored.
1.4 By an engineering information agreement dated 28 March 2000 ( the Original Agreement ) made between LUL, BCV, JNP and SSL, arrangements were recorded for conducting a project to divide engineering information into categories. In order to reflect the changes that the parties agreed to the Original Agreement ( including the expanded scope of Information ), the parties amended and restated the Original Agreement on 27 March 2002 ( the Amended and Restated Agreement ).
1.5 This Agreement amends and restates the Amended and Restated Agreement with effect from Completion so that it shall, subject to Clause 2.1, read in its entirety in the attached form.

2. Definitions and Interpretation

2.1 Unless otherwise defined in Clause 2.2, or unless the context otherwise requires, the words and expressions used in this Agreement shall have the meaning assigned to them in the Master Definitions Agreement between LUL, BCV, JNP and SSL ( the MDA ) and the provisions of this Agreement shall, to the extent applicable, be interpreted in accordance with clause 1.2 of the MDA.
2.2 The following words and expressions used in this Agreement shall, unless the context otherwise requires, have the following meanings:

Controlled Type I
Information means any Information procured by or originating from and managed by LUL which is essential for an Infraco to perform the Services and to which an Infraco requires immediate access in order to perform the Services, including the information described in Schedule 1;

Controlled Type II Information
means any Information in which all rights were either transferred to one or some Infracos pursuant to a Transfer Scheme or procured by or originating from and managed by an Infraco and which is essential for the relevant Infraco to perform the Services and to which LUL requires immediate access in order to fulfil its business objectives, including the information described in Schedule 2;

Emergency Circumstances
means incidents such as those described in Standard Na100, major emergencies, formal investigations and any circumstances in which the provision of Emergency Services is required;

Infraco Local Information
means Information required by an Infraco to operate its business and not normally needed by LUL in order to perform its obligations, other than Controlled Type I Information, Controlled Type II Information, LUL Local Information, Mandated LUL Information and Mandated Information;

Information
means any information which is or may be required by either LUL or an Infraco to fulfil their respective business objectives;

Information System Knowledge Development Forums
means the System Knowledge Development Forums ( as defined in paragraph 2.1 of Appendix 1 to Schedule 3.1 to each of the PPP Contracts ) which are specifically dedicated to Information;

LUL Classified Information
means information that is "Classified Information" within the meaning of the then current version of LUL's "Information Standard E1112" made available to the Infracos prior to the date of this Agreement, and as may be amended from time to time in accordance with the Standards Code. For the avoidance of doubt, LUL Classified Information may comprise any of the categories of Information referred to in this Agreement;

LUL Local Information
means Information required by LUL to operate its business and not normally needed by Infracos in order to perform the Services, other than Controlled Type I Information, Controlled Type II Information, Infraco Local Information, Mandated LUL Information and Mandated Information;

Mandated Information
means Information which is essential for an Infraco to perform the Services, but to which LUL does not require immediate access in order to fulfil its business objectives, including the information described in Schedule 3;

Mandated LUL Information
means Information which is essential for an Infraco to perform the Services, but to which an Infraco does not require immediate access in order to perform the Services, including the information described in Schedule 4; and

Shared Asset
means any Asset or other asset comprised in the Underground Network which is required for use by more than one Infraco in order for each Infraco to provide the Services in accordance with the PPP Contract to which it is a party.
2.3 This Agreement includes the Schedules.
2.4 The parties acknowledge that the provisions of this Agreement are intended to specify in more detail provisions relating to the management and exchange of information made in the PPP Contracts, and are not intended to derogate from any such provisions in the PPP Contracts.
2.5 To the extent that there is any conflict between the provisions of this Agreement and any of the provisions of any of the PPP Contracts, the provisions of the PPP Contracts shall prevail.

3. Information Categories

3.1 Schedules 1 to 5 inclusive may be amended, refined or added to, from time to time by written agreement between LUL and the Infracos, including at Information System Knowledge Development Forums.

4. Ownership and Custody

4.1 As between LUL and the Infracos, LUL shall own all right, title and interest ( including IPRs ) in and to, and be entitled to custody of, all information recorded in any format which forms part of LUL Local Information, Controlled Type I Information and Mandated LUL Information.
4.2 Each Infraco shall respectively own all right, title and interest ( including IPRs ) in and to, and be entitled to custody of, all information recorded in any format which forms part of Controlled Type II Information, Mandated Information and Infraco Local Information either originating from that Infraco or in which that Infraco was granted custody by LUL pursuant to the London Underground Infrastructure Companies Asset Transfer Scheme 2000 and the London Underground Engineering Information and Information Systems Transfer Scheme 2001.

5. Access

5.1 Infracos shall not have automatic rights of access to LUL Local Information, but LUL may be required to make such Information ( except legal and/or other professional advice provided to it ) available to any of the Infracos in response to Emergency Circumstances in which circumstances LUL shall make such information available to the relevant Infraco or Infracos in a format to be agreed with the relevant Infraco as and when access becomes necessary. There will, however, be nothing to prevent LUL from sharing LUL Local Information with the Infracos or any of them in normal circumstances.
5.2 LUL shall make Controlled Type I Information available to the Infracos, and shall notify the Infracos of any updates to Controlled Type I Information and the details of such updates at a frequency and in a format to be agreed with each of the Infracos at Information System Knowledge Development Forums.
5.3 To the extent that it is custodian of Controlled Type II Information, each of BCV, JNP and SSL shall make Controlled Type II Information available to LUL, and shall notify LUL of any updates to Controlled Type II Information and the details of such updates at a frequency and in a format to be agreed with LUL at Information System Knowledge Development Forums. Each of BCV, JNP and SSL shall make any Controlled Type II Information of which it is custodian available to the others to the extent that they require it for any safety related purpose or any purpose connected with the use of any of the Shared Assets in the provision of the Services, including to the extent required for compliance by the Infraco which has custody of the relevant information or either of the other Infracos with its Safety Agreement. To the extent that BCV, JNP and SSL are not custodians of Controlled Type II Information, BCV, JNP or SSL, as appropriate, shall use all reasonable endeavours promptly to acquire and make available such Controlled Type II Information in accordance with this Clause.
5.4 To the extent that it is custodian of Mandated LUL Information, LUL shall make Mandated LUL Information or any part of it available to each of BCV, JNP and SSL in its most updated form to whichever of BCV, JNP or SSL requests it within a timeframe to be specified by such Infraco ( such timeframe to be reasonable having regard to the nature of the information and the purposes for and the circumstances in which it is required ) and as otherwise provided in relevant Standards relating to information management. LUL shall make any Mandated LUL Information of which it is custodian available to the Infracos to the extent that they require it for any safety related purpose or any purpose connected with the use of any of the Shared Assets in the provision of the Services, including to the extent required for compliance by any of the Infracos with its Safety Agreement.
5.5 To the extent that it is custodian of Mandated Information, each of BCV, JNP and SSL shall make Mandated Information or any part of it available to LUL in its most updated form if LUL requests it within a timeframe to be specified by LUL ( such timeframe to be reasonable having regard to the nature of the information and the purposes for and the circumstances in which it is required ) and as otherwise provided in relevant Standards relating to information management. Each of BCV, JNP and SSL shall make any Mandated Information of which it is custodian available to the others to the extent that they require it for any safety related purpose or any purpose connected with the use of any of the Shared Assets in the provision of the Services, including to the extent required for compliance by the Infraco which has custody of the information or either of the other Infracos with its Safety Agreement. To the extent that BCV, JNP and SSL are not custodians of Mandated Information, BCV, JNP or SSL, as appropriate, shall use all reasonable endeavours promptly to acquire and make available such Mandated Information in accordance with this Clause.
5.6 LUL shall not have automatic rights of access to Infraco Local Information, but any of BCV, JNP and SSL may be required to make such information ( except legal and/or other professional advice provided to it ) available to LUL and to the other Infracos in response to Emergency Circumstances in which circumstances BCV, JNP or SSL ( as applicable ) shall make such information available to LUL and the relevant Infracos in a format to be agreed as and when access for LUL or any of the other Infracos becomes necessary. There will, however, be nothing to prevent any of BCV, JNP or SSL from sharing Infraco Local Information with LUL or other Infracos in normal circumstances.
5.7 Notwithstanding anything else in this Agreement, LUL shall not be required to make available to the Infracos any Information which is LUL Classified Information unless: (a) in LUL's sole discretion, the proposed or potential recipients of the Information who are employed or engaged by Infraco are security cleared to an appropriate level determined at LUL's sole discretion; or

(b) the Information is required for use by an Infraco as a result of the occurrence of an Emergency Circumstance.
5.8 Neither LUL nor the Infracos shall use Information disclosed to them which is the subject of this Agreement other than for carrying out activities envisaged by, and in the manner expressly permitted by, this Agreement and/or other Transaction Documents.

6. Consideration

6.1 On execution of this Agreement, and on receipt of a valid VAT invoice, each party to this Agreement shall pay to each of the other parties the sum of £100 by way of consideration for the rights granted to it under this Agreement. Receipt of these sums is hereby acknowledged by all parties to this Agreement.
6.2 All amounts and other consideration stated herein are exclusive of VAT chargeable in respect thereon and the party paying any amount or providing any consideration shall in addition pay any VAT thereon.

7. Updates and Control of Copies

7.1 LUL shall keep LUL Local Information, Mandated LUL Information and Controlled Type I Information updated and shall retain master copies of each record of Information which falls into these categories.
7.2 Each of BCV, JNP and SSL shall keep such Controlled Type II Information, Mandated Information and Infraco Local Information of which it is custodian updated and will each retain master copies of each record of Information of which it is custodian and which falls into these categories.
7.3 LUL and any of BCV, JNP and SSL may keep copies of such Information records which are intended to be updated in line with the master copy and mark them as "controlled copies" when they are updated in line with the relevant master copy. Without prejudice to the parties' obligations to comply with Standards pursuant to the PPP Contracts, LUL and each of BCV, JNP and SSL shall take account of and comply with any relevant Standards applicable to the maintenance of controlled and uncontrolled copies of Information or information generally.

8. Reversion and Step-In Rights

8.1 Subject to Clause 8.2, each of BCV, JNP and SSL shall provide to LUL upon the Expiry Date or a Contract Disposal Date, in accordance with the relevant Handback Plan, all master copies of documents ( in all existing formats ) containing Controlled Type II Information and Mandated Information ( and to the extent required by LUL, Infraco Local Information ) and the means of reading and amending these master copies ( and procure any licences of Key IPRs in such documents and in any systems required for use by LUL to read or amend the master copies in accordance with clauses 37.12 and 37.13 ( Intellectual Property ) of the PPP Contract to which it is a party ).
8.2 Without prejudice to clauses 30 ( Direct Agreements ), 31 ( Protection of Assets ) and 37 ( Intellectual Property ) of the PPP Contract, to the extent that the means of amending a master copy of a document ( in any format ) recording Information referred to in Clause 8.1 requires provision of services from a third party to amend those master copies, BCV, JNP and SSL, as appropriate, shall use all reasonable endeavours to ensure that LUL ( or an entity designated by it ) is entitled from the Expiry Date or Contract Disposal Date ( as applicable ) for at least six (6) months to continue to benefit from commercial terms with the suppliers of those services which terms are at least as favourable as those enjoyed by BCV, JNP or SSL immediately before the Expiry Date or Contract Disposal Date.
8.3 Each of BCV, JNP and SSL shall provide to LUL master copies or other copies ( at LUL's election ) of documents ( in all existing formats ) containing Information of which it has custody and which are necessary for LUL to exercise its Step-In Rights under any of the PPP Contracts.

9. LUL Services

9.1 LUL shall provide each of BCV, JNP and SSL access to the LUL engineering library, reprographics department and access to the databases specified in Schedule 5 during reasonable business hours at a charge to be stipulated by LUL at the relevant time. Such charge will not incorporate any profit element for LUL. Where such information is available to LUL in electronic form, LUL shall use all reasonable endeavours to provide BCV, JNP or SSL with an electronic copy of such information in which case BCV, JNP or SSL, as appropriate, shall promptly reimburse LUL for any additional third party costs incurred by LUL to provide such electronic copy.

10. Confidentiality

10.1 Each party to this Agreement undertakes to keep confidential, and not to disclose to any third party ( without the prior consent in writing of the party from whom it received the Information ) any Information disclosed to it by one of the other parties under this Agreement. In circumstances where a party is granting consent, it may require, as a precondition for the granting of such consent, that any such third party provides it with a confidentiality undertaking on terms reasonably satisfactory to it.
10.2 Clause 10.1 shall not apply: (a) to any Information which is already in the public domain at the time of its disclosure other than by breach of Clause 10;

(b) to disclosure of any Information by an Infraco to Connected Persons or by LUL to LUL's employees, directors, shareholders, representatives, contractors, agents, sub-contractors, professional advisers ( including lawyers, auditors, accountants and technical consultants ) or underwriters other than by breach of Clause 10, provided that such recipients agree to be bound by the terms of this Clause 10; or

(c) to any Information which is required to be disclosed to the extent required by any applicable Law, the regulations of any recognised stock exchange to the Statutory Arbiter or by an order of a court or other tribunal of competent jurisdiction or any relevant regulatory body.
10.3 For the avoidance of doubt, the provisions of this Clause 10 shall be without prejudice to LUL's rights under clause 48 ( Disclosure of Information ) of the PPP Contracts.

11. Dispute Resolution

11.1 Any Dispute arising out of, or in connection with, this Agreement shall be resolved in accordance with the Dispute Resolution Agreement, and shall be subject to the accelerated adjudication procedure as if it were included in the list in clause 4.15 of the Dispute Resolution Agreement.

12. Force Majeure

12.1 If a party is affected by Force Majeure Events such that it will be unable to perform its obligations hereunder to a material extent, it will promptly notify the other parties affected thereby of the nature and extent of the circumstances in question and the delay or failure likely to result therefrom.
12.2 Notwithstanding any other provision of this Agreement, a party ( the Affected Party ) shall not be deemed to be in breach of this Agreement, or otherwise be liable, for any delay in performance or other non-performance of any of its obligations under this Agreement to the extent that the delay or non-performance is due to any Force Majeure of which it has notified the other parties affected. The Affected Party shall use all reasonable efforts to remedy the situation so far as possible and subject thereto will comply with its obligations hereunder, provided that there shall be no obligation on the Affected Party to settle labour disputes or to test or to refrain from testing the validity of any order, regulation or law in any court having jurisdiction. The Affected Party shall give prompt notice to other parties affected of the cessation of the cause of any Force Majeure.

13. Survival

13.1 The provisions of this Agreement ( including any appropriate Schedules ) which by their nature or implication ( including in respect of any accrued rights and liabilities ) are required to survive termination or expiry of this Agreement shall so survive and continue in full force and effect, along with any other Clauses or Schedules of this Agreement necessary to give effect to them.
13.2 The provisions of this Clause 13 and Clause 10 shall survive the termination or expiry of this Agreement and continue in full force and effect.

14. Notices

14.1 Save where specified otherwise in this Agreement any notice affecting this Agreement and any invoices ( together, Notices ) shall be in writing and signed by the Contract Manager referred to in Clause 14.2 for the party giving it on behalf of that party and may be served by leaving it at, or sending it by fax, prepaid recorded delivery, special delivery or registered post to the address and for the attention of the Contract Manager of the other party. Proof of posting or despatch of any notice or communication shall be deemed to be proof of receipt: (a) in the case of delivery by hand, when delivered;

(b) in the case of fax, the Business Day after the despatch;

(c) in the case of recorded delivery, special delivery or registered post, forty-eight (48) hours from the date of posting.

or such person or address as the relevant party may from time to time notify in writing to the others.
14.3 Notices not governed by Clause 14.1 may be given in such manner as the parties may from time to time agree.

15. Waiver

15.1 The failure of any party at any time to enforce any provision of this Agreement shall in no way affect its right to require complete performance by the other party, nor shall the waiver of any breach of any provision be taken or held to be a waiver of any subsequent breach of any provision, or be a waiver of the provision itself.
15.2 Save as expressed to the contrary in this Agreement, each party's rights and remedies under this Agreement are cumulative and shall not apply to exclude or limit any right or remedy at law or any claim for equitable relief.

16. Assignment

16.1 No Infraco may licence, assign, transfer, charge or otherwise deal with, in whole or in part, any of its rights or obligations under this Agreement ( nor grant, declare a trust of, create or dispose of any right or interest in it ) without the prior written consent of the other party provided that no such consent under this Agreement shall be required from any party where such licence, assignment, transfer or charge is entered into by BCV, SSL or JNP by way of security in accordance with the terms of the relevant PPP Contract.

17. Severability

17.1 Should any provision of this Agreement be held to be invalid or unenforceable then such provision shall, so far as invalid or unenforceable, be given no effect and shall be deemed not to be included in this Agreement but without invalidating any of the remaining provisions of this Agreement. The parties shall then use all reasonable endeavours to replace the invalid or unenforceable provision by a valid provision the effect of which is the closest possible to the intended effect of the invalid or unenforceable provision.

18. LUL Liability

18.1 LUL's liability in respect of any breach of its obligations under this Agreement shall be no greater than any liability of LUL resulting from an LUL Breach under the PPP Contract.

19. Limitation on Intra Infraco Liability

19.1 The liability of one Infraco ( the Liable Infraco ) to another Infraco under this Agreement in relation to: (a) loss of profits or revenue;

(b) loss of business;

(c) loss of contracts;

(d) indirect, special, incidental or consequential loss or damage; and

(e) claims of third parties for any of the matters referred to in subparagraphs (a) - (d) above,
shall be limited to £500,000 in each Contract Year, and this limitation shall apply even if the Liable Infraco has notice of the likelihood of such loss or damage.

20. Contracts (Rights of Third Parties) Act 1999

20.1 A person who is not a party to this Agreement shall have no right under the Contracts ( Rights of Third Parties ) Act 1999 to enforce any of its terms.

21. Governing Law And Jurisdiction

21.1 Without prejudice to Clause 11 ( Dispute Resolution ), this Agreement shall be governed by and construed in accordance with laws of England and Wales and the parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales as provided for in clauses 9.1 to 9.2 of the Dispute Resolution Agreement.
