SCHEDULE 5.12 - Audit |
| 1 Other than in respect of Operational Property during Traffic Hours ( where, for the avoidance of doubt, no minimum notice period is necessary ), LUL shall give Infraco such minimum period of notice of any audit as is reasonable in all the circumstances having regard to the nature and purpose of the audit. LUL shall never be required to give more than twenty-four (24) hours notice to visit any site used in the provision of the Services. |
| 2 The number of LUL representatives ( the audit team ) for any one audit visit shall be limited to such number as is appropriate in all the circumstances having regard to the nature and purpose of the audit. |
| 3 The audit team must present an authorisation document and provide proof of identity to the reasonable satisfaction of Infraco. |
| 4 Each audit team will be accompanied at all times by an "escorting officer" unless Infraco elects otherwise or, LUL having given such notice as is appropriate pursuant to paragraph 1 above, Infraco is unable to make an "escorting officer" available to accompany the audit team during the period in which the audit team wish to carry out the audit visit. For the avoidance of doubt, the "escorting officer" shall not be entitled to interfere in any way with the carrying out of the audit visit where the audit is being undertaken in accordance with the Contract. |
| 5 The audit team will observe any of Infraco's site-specific security arrangements governing the use of electronic devices which may interfere with sensitive IT equipment. Permission from Infraco to bring such devices onto Infraco sites shall not be unreasonably withheld. |
| 6 The audit team must comply with all relevant site-specific policies including regarding safety, security, smoking, alcohol and drugs. |
| 7 No original documentation or other items may be removed by the audit team. Infraco shall promptly and at no charge make copies of any documentation pertaining to the audit, as reasonably required by any member of the audit team ( whether such requirement is confirmed verbally or in writing ). Copies of documentation may be removed, on the basis that Infraco will be entitled to keep a formal record of what has been removed and may require that this record be signed by the "escorting officer" provided that for the avoidance of doubt the audit team shall not be impeded or restricted in any way in removing copies of documentation should an "escorting officer" not be available to sign a record. |

8 Infraco shall provide LUL with such office space and telephones at each site as are reasonably required to enable LUL to perform each audit properly in accordance with the Contract. Subject to paragraph 5 of this Schedule, the audit team is permitted to bring personal computers on to sites. Infraco shall appoint and maintain a contact that is readily available to assist LUL and each audit team in carrying out audits pursuant to clause 15 ( Audit ) of the Contract and the previous paragraphs of this Schedule. This assistance shall include, but not be limited to, helping LUL in setting up each audit, arranging interviews with personnel of Infraco or members of the Infraco Group, securing reasonable office space and use of reasonable facilities to enable LUL to conduct each audit properly. |
