SCHEDULE 5.11 - Quality Plan

Quality Regime

1. Infraco shall devise and implement a regime containing its quality assurance procedures ( the Quality Regime ).
2. Infraco's Quality Regime shall comply with the quality management system procedures contained in BS EN ISO 9001 ( as replaced, updated or amended from time to time ) or ISO 9002 ( as replaced, updated or amended from time to time ) using, as appropriate, the guidelines of ISO 9004 ( as replaced, updated or amended from time to time ).

Quality Plan

3. As part of its Quality Regime, Infraco shall prepare and maintain a plan summarising its quality assurance procedures ( the Quality Plan ) which shall form the basis of Infraco's reporting requirement to LUL.
4. The Quality Plan shall, as a minimum, provide a review of: (a) the structure and detail of the Quality Regime and its operation;

(b) the defined scope of the Quality Regime;

(c) the current accreditation certificate;

(d) the latest quality audit made in accordance with paragraph 8 of this Schedule; and

(e) the management reports required by the ISO 9000 ( as replaced, updated or amended from time to time ) series of standards.
5. Infraco shall prepare and submit a report on its Quality Plan to LUL every Contract Year.

Assessment and Inspection

6. Infraco shall undergo third party assessment to the requirements of BS EN ISO 9002 ( as replaced, updated or amended from time to time ) for its Quality Plan with a recognised body within ten (10) months of the Transfer Date. Full certification shall be achieved within fifteen (15) months of the Transfer Date. Thereafter, Infraco shall maintain certification by a national accreditation body for the remainder of the Contract Period.
7. In addition to any audit that LUL is entitled to undertake in accordance with clause 15 ( Audit ) of the Contract and Schedule 5.12 ( Audit ) to the Contract, LUL may require that an independent certifier examine the Quality Plan and supporting documentation including, but not limited to:

(a) data capture processes;

(b) record holding;

(c) management systems; and

(d) financial records;

and Infraco shall make all such documentation and other material related to the Contract available for inspection.
8. Without prejudice to the provisions of clause 22.1(c) ( Failure to Comply with Obligations ) of the Contract, LUL shall use reasonable endeavours to manage the number, scope, timing, duration and method of an audit carried out in accordance with paragraph 7 above so as to ensure that Infraco is not, without due cause, disrupted or delayed in the performance of its obligations under the Contract or otherwise.

Quality Audits

9. Infraco shall conduct quality assurance audits and formal reviews in accordance with the ISO 9000 ( as replaced, updated or amended from time to time ) series of documents.
