SCHEDULE 1.3 - PFI Contracts

1 In this Schedule:

PFI Obligations
means (i) all of the obligations in the Prestige Contract, the Power Service Contract and the Connect Contract listed in the tables below in Part I of Annex I of this Schedule and, (ii) all of the obligations and provisions in the Prestige Contract, the Power Service Contract and the Connect Contract listed in the tables below in Part II of Annex I of this Schedule, as amended and otherwise varied from time to time subject to paragraph 3; and

Supporting Services
means the provision of information in a timely manner and any supporting works, support services and/or additional scarce resources ( including any increase to the level of works, services and/or resources that Infraco is required to provide in relation to the PFI Obligations ), reasonably required in order for LUL to meet its procurement obligations pursuant to paragraphs 8.1 to 8.6 ( inclusive ) of this Schedule 1.3 ( PFI Contracts ).
2.1 Infraco undertakes to perform the PFI Obligations listed under the tables in Part I of Annex I of this Schedule, in relation to the Prestige Contract so as to provide London Transport with a good discharge of such obligations, in relation to the Power Service Contract so as to provide LUL with a good discharge of such obligations, and in relation to the Connect Contract so as to provide LUL with a good discharge of such obligations.
2.2 In respect of the PFI Obligations listed under the tables in Part II of Annex I of this Schedule Infraco undertakes: (a) to reasonably assist LUL and London Transport in relation to performance of such PFI Obligations ( and the exercise of any rights thereunder ) including ( without limitation ) supplying information to LUL and/or London Transport which is only available to the Infraco and which is required for the proper performance of such PFI Obligations ( and exercise of such rights );

(b) not to prevent, hinder, obstruct or interfere with LUL and/or London Transport performing the PFI Obligations; and

(c) not to act unreasonably such that the consequences of such act, in accordance with the relevant PFI Obligation, relieves or qualifies the PFI Contractor's performance of such PFI Obligations or permits the PFI Contractor to enforce any rights against LUL and/or London Transport pursuant to, or as provided by, such PFI Obligation.
2.3 The parties agree that Infraco shall not be in breach of any of its PFI Obligations to the extent that any failure to discharge such PFI Obligations arises as a result of Infraco's compliance with the Transaction Documents.
2.4 Where relevant and to the extent reasonably practicable, LUL shall use best endeavours to perform its obligations and exercise its rights under the PFI Contracts so as to enable Infraco to comply with its obligations and exercise its rights under the Transaction Documents. LUL acknowledges that where it fails or omits to perform an obligation or to exercise a right which it has under a PFI Contract then to the extent that such failure or omission materially prejudices Infraco's ability to discharge or otherwise comply with any of its obligations pursuant to this Schedule 1.3, Infraco shall not be in breach of such obligation.
3 LUL may from time to time amend, vary or replace any PFI Obligations provided that it has complied with clause 17 ( LUL Specified Rights ) of the Contract with respect to such amendment, variation or replacement. The provisions of paragraph 2 shall apply to those PFI Obligations as so amended, varied or replaced, provided that LUL shall be obliged to notify Infraco of all such relevant amendments, variations and replacements to the PFI Obligations.
4 Where any PFI Obligation consists of an obligation relating to the use, state or condition of any property, Infraco shall only be obliged to perform that PFI Obligation to the extent that such property is comprised in the Premises or is listed in Part III of Annex I to this Schedule ( save that Infraco shall always be obliged to provide the number of training course places to employees and sub-contractors of the PFI Contractors as detailed in, and required by, Annex III to this Schedule 1.3 ) and where such property is so comprised the parties agree that to the extent such PFI Obligation requires the property to be maintained or to be repaired then notwithstanding the standard of maintenance or repair that may be determined under the PFI Contract Infraco shall be obliged to maintain or to repair the property in accordance with the Residual Property Maintenance Standard and any other applicable Standard in order for it to be deemed to have discharged the PFI Obligation.
5 LUL undertakes to provide to Infraco copies of all notices, documentation and other correspondence received by LUL or London Transport or provided by LUL or London Transport to any third party in connection with the PFI Obligations.
6 Infraco undertakes that it shall provide to LUL such approvals, assistance and resources as are required by the Power Service Contractor to carry out the harmonics work on the high voltage power system.
7 Subject to Infraco's other obligations under the Transaction Documents, Infraco shall make available to LUL where reasonably practicable any Infraco personnel which LUL reasonably requires to defend or pursue any dispute controversy or claim arising under a PFI Contract relating in full or in part to a PFI Obligation.
8.1 Subject to paragraphs 8.7, 8.8 and 8.9, LUL shall procure the carrying out of the works and services to the high voltage power system listed in Appendix A to Annex II to this Schedule by the Power Service Contractor or such other person as LUL elects, at no cost to the Infraco by the date specified in such Appendix provided that any Supporting Services in relation thereto shall be procured by Infraco at no cost to LUL.
8.2 To the extent that LUL is able to procure from the Power Service Contractor or such other person as LUL elects any works or services to the high voltage power system which Infraco notifies LUL after the Transfer Date and which are required by Infraco to perform its obligations under this Schedule and Schedule 2.1 ( Service Outputs ) of the Contract, Infraco shall reimburse LUL for all costs and expenses reasonably incurred by LUL to implement such requirements. Subject to paragraphs 8.8 and 8.9, any Supporting Services in relation thereto shall be procured by Infraco at no cost to LUL.
8.3 Subject to paragraphs 8.7, 8.8 and 8.9, LUL shall procure the provision to Infraco of the requirements for the radio and telecommunications transmission system listed in Appendix B to Annex II to this Schedule by the Connect Contractor or such other person as LUL elects, at no cost to Infraco by the date specified in such Appendix provided that any Supporting Services in relation thereto shall be procured by Infraco at no cost to LUL.
8.4 To the extent that LUL is able to procure from the Connect Contractor or such other person as LUL elects any requirements from the radio and telecommunications transmission system which Infraco notifies LUL after the Transfer Date and which are required by Infraco to perform its obligations under this Schedule and Schedule 2.1 ( Service Outputs ) of the Contract, Infraco shall reimburse LUL for all costs and expenses reasonably incurred by LUL to implement such requirements. Subject to paragraphs 8.8 and 8.9, any Supporting Services in relation thereto shall be procured by Infraco at no cost to LUL.
8.5 Subject to paragraphs 8.7, 8.8 and 8.9, LUL shall procure the carrying out of the temporary and permanent relocation of ticket validating gates and ticket selling equipment listed in Appendix C to Annex II to this Schedule by the Prestige Contractor or such other person as LUL elects, at no cost to the Infraco by the date specified in such Appendix provided that any Supporting Services in relation thereto shall be procured by Infraco at no cost to LUL.
8.6 To the extent that LUL is able to procure from the Prestige Contractor or such other person as LUL elects any temporary and/or permanent relocations which Infraco notifies LUL after the Transfer Date and which are required by Infraco to perform its obligations under this Schedule and Schedule 2.1 ( Service Outputs ) of the Contract, Infraco shall reimburse LUL for all costs and expenses reasonably incurred by LUL to implement such requirements. Subject to paragraphs 8.8 and 8.9, any Supporting Services in relation thereto shall be procured by Infraco at no cost to LUL.
8.7 LUL shall notify Infraco if it becomes aware that it will not be able to meet any of its procurement obligations under paragraph 8.1, 8.3 or 8.5 ( as applicable ) and the parties shall use their best endeavours to agree: (a) the terms for compensating Infraco for any Increased Infraco Cost; and

(b) any changes to Schedules 2.1 ( Service Outputs ), 2.2 ( Line Specific Performance Measures ) and the Fourth Schedule and the Performance Measurement Code,
to account for the effect on Infraco of such failure to meet those obligations.
8.7A Where the parties agree in accordance with paragraph 8.7, LUL shall not be in breach of its obligations under paragraph 8.1, 8.3 or 8.5 ( as applicable ). For the avoidance of doubt, if the parties fail to agree such changes and LUL fails to meet its procurement obligations under paragraphs 8.1, 8.3 or 8.5, there will be an LUL Breach.
8.8 Where Infraco fails to carry out and/or perform any Supporting Services, then to the extent of such failure, LUL shall not be in breach of its procurement obligations to which those Supporting Services relate.
8.9 Where any Supporting Services can only be reasonably carried out and/or performed by SSL or BCV, LUL shall, in accordance with clause 13.2 ( Contract Management and LUL Assistance ) of the Contract, provide assistance to Infraco in procuring such Supporting Services provided that Infraco shall reimburse LUL for all costs and expenses reasonably incurred by LUL in providing such assistance.
9 For the avoidance of doubt, the obligations in this Schedule 1.3 ( unless specifically provided otherwise in this Schedule 1.3 ) are in relation to: (a) the JNP Network; and

(b) such other parts of the LUL Network as are reasonably ancillary or adjacent to the JNP Network provided that such ancillary or adjacent parts shall not be materially more than the JNP Network.

ANNEX III

Appendix A

1 Infraco shall only be required to provide a maximum aggregate number of 350 training places for employees and sub-contractors of the Power Service Contractor per Contract Year on general safety courses. A place on a general safety course shall, for the purposes of this Appendix A to Annex III, be regarded as a training place booked for an employee or sub-contractor of the Power Service Contractor on any of the following courses: (i) depot track competent;

(ii) site person in charge ( Core/Eng/Depot/Track );

( iii ) track accustomed;

(iv) track competent ( Traffic Hours );

(v) track trolley;

(vi) protection master ( Engineering Hours );

( vii ) fire awareness ( Core Module );

( viii ) fire watch-person ( Module );

(ix) fire warden ( Module );

(x) safety induction ( Contractors ); and

(xi) first aid courses.
2 Infraco shall only be required to provide a maximum aggregate number of 110 training places for employees and sub-contractors of the Power Service Contractor per Contract Year on Machinery Room awareness/permit to enter escalator general level.
3 Infraco shall only be required to provide the training course places described in this Appendix A to Annex III until 31 March 2029.
4 For the avoidance of doubt, the training courses listed in paragraphs 1 and 2 above are references to those training courses more particularly described in the Category 1 Standards for training as the same may be amended, varied, modified or replaced from time to time.

Appendix B

1 The maximum aggregate number of training places which Infraco is required to provide on courses to employees and sub-contractors of the Connect Contractor are listed in the table below. For the avoidance of doubt, references to the training courses listed in the table are references to those training courses which have the same name under the Connect Contract, as the same may be amended, varied, modified or replaced from time to time.
